Terms & Conditions
This agreement governs your access to and use of the Zapelite platform and services operated by Elitestack Tecnologies LLC. Please read these terms carefully before using our services.
1. Agreement and Parties
This Terms and Conditions agreement (“Agreement”) is entered into by and between Elitestack Tecnologies LLC (“Elitestack”, “Zapelite”, “we”, “us”, or “our”), a company incorporated under the laws of the United Arab Emirates with its principal office in Dubai, and any person or entity (“you”, “your”, “Customer”, or “User”) accessing or using the Zapelite platform.
Zapelite is a proprietary B2B communication and workflow automation platform for business messaging — including the WhatsApp Business Platform, Facebook Page messaging, and Instagram messaging — owned and operated by Elitestack Tecnologies LLC. The platform is accessible at zapelite.io (and any associated domains or subdomains) and connects to Meta services through our Meta Platform application “zapchat” (App ID: 803096449433399).
By accessing, registering for, subscribing to, or otherwise using the Zapelite platform and related services (collectively, the “Services”), you agree to be bound by this Agreement, including our Privacy Policy and Data Deletion Policy, which are incorporated by reference. If you do not agree to these terms, you must not use the Services.
If you are entering into this Agreement on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these terms. In such case, “you” and “your” shall refer to that entity.
2. Account Terms
2.1 Registration
To access and use the Services, you must register for an account (“Account”) by providing your full legal name (or legal entity name), current business address, phone number, a valid email address, and any other information indicated as required during the registration process. Zapelite reserves the right to reject any application for an Account, or suspend or terminate an existing Account, at our sole discretion.
2.2 Eligibility
You must be at least 18 years of age, or the age of majority in your jurisdiction (whichever is greater), to create an Account. You confirm that you are using the Services for business purposes only and not for any personal, household, or family use.
2.3 Account Security
You are responsible for maintaining the confidentiality and security of your Account credentials, including your password. You agree to notify us immediately at support@zapelite.io if you become aware of any unauthorized use of your Account. Zapelite shall not be liable for any loss or damage arising from your failure to maintain Account security.
3. Description of Services
Zapelite provides a B2B communication and workflow automation platform that connects business messaging channels, CRM systems, and internal business tools. The Services include, but are not limited to:

Any new features or tools added to the Services shall also be subject to this Agreement. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where practicable. Not all features are available in every jurisdiction.
4. Meta Platform Dependency
The Services depend on platforms, APIs, and policies operated by Meta Platforms, Inc. (“Meta”), including the WhatsApp Business Platform, Messenger Platform, and Instagram Platform. You acknowledge and agree that:
- Message delivery, template approval, conversation pricing, account quality ratings, messaging limits, and the availability of Meta features are determined solely by Meta and are outside Zapelite’s control;
- Meta may suspend, restrict, or terminate your WhatsApp Business Account, Facebook Page, or Instagram account at its discretion under its own terms and policies, and Zapelite is not liable for any such action or its consequences;
- Changes to Meta’s APIs, policies, or pricing may affect or limit the Services, and Zapelite may modify the Services as reasonably necessary to remain compliant with Meta requirements;
- Conversation-based and per-message charges set by Meta are passed through to you and may change in accordance with Meta’s published pricing.
5. Fees and Payment
5.1 Fee Structure
You agree to pay all applicable fees associated with your use of the Services, which may include:

5.2 Payment Terms
All fees are quoted and payable in AED (UAE Dirhams) unless otherwise specified. Visa and MasterCard debit and credit cards are accepted. The price and currency displayed at checkout will match the amount charged to your card. You must maintain a valid payment method on file at all times. Zapelite will charge your authorized payment method for all outstanding fees on each billing date.
5.3 Taxes
Unless expressly stated otherwise, all fees are exclusive of applicable taxes, including UAE Value Added Tax (VAT). Where VAT or other taxes apply, they will be added to your invoice at the prevailing rate and you are responsible for their payment. Zapelite is responsible only for taxes on its own income.
5.4 Failed Payments
If we are unable to process payment using your authorized payment method, we will reattempt after 3 days. If the second attempt fails, we will make a final attempt 3 days later. If all three attempts fail, we may suspend access to your Account and Services.
Payment Security: All credit and debit card details are processed by our third-party payment processor. Zapelite does not store full card numbers, CVV codes, or other sensitive cardholder data on our servers.
6. Refund Policy
You may request a cancellation and refund within 24 hours of purchase. Refunds will be processed through the original payment method used for the transaction. Please allow 10 to 45 business days for the refund to be completed, depending on your card issuer.
After the 24-hour window, subscription fees that have already been billed are non-refundable. Zapelite will only issue refunds beyond this period if Zapelite materially fails to deliver the Services as described in your subscription plan. Charges set and levied by Meta (including conversation charges) are non-refundable in all cases.
7. Acceptable Use
You agree to use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and third-party terms — including the Meta Platform Terms, WhatsApp Business Messaging Policy, WhatsApp Commerce Policy, and Instagram/Messenger Platform Policies.
You agree NOT to:
- Use the Services to send unsolicited messages (spam) or messages without proper consent (opt-in) from the recipients;
- Violate any applicable data protection, privacy, or telecommunications laws;
- Use the Services for any activity that is fraudulent, deceptive, harmful, or that promotes illegal goods or services;
- Use the Services to distribute or operate a general-purpose AI assistant as a primary product, or otherwise use AI features in violation of Meta’s AI provider policies;
- Share, resell, or sublicense access to the Services without Zapelite’s written consent;
- Attempt to probe, scan, or test the vulnerability of the platform, or circumvent any security or authentication measures;
- Interfere with, disrupt, or place an unreasonable burden on the Services or our infrastructure.
End-User Consent: You are solely responsible for obtaining and maintaining valid opt-in consent from your end users before messaging them through the Services, and for honoring opt-out requests promptly.
Meta Compliance: You are solely responsible for ensuring your use of the WhatsApp Business API, Facebook Page messaging, and Instagram messaging through Zapelite complies with Meta’s applicable policies. Zapelite may suspend or restrict your Account, without liability, where reasonably necessary to address a violation of Meta policies or to protect Zapelite’s standing as a Meta Business Partner.
8. Your Content and Data
You retain all intellectual property rights over the content, materials, media, and data you upload to or create within the Zapelite platform (“Your Content”). Zapelite does not claim ownership of Your Content.
By using the Services, you grant Zapelite a limited, non-exclusive, worldwide license to host, store, process, and display Your Content solely as necessary to provide, maintain, and improve the Services.
Upon termination of your Account, you may request an export of Your Content within 30 days, after which Your Content will be deleted in accordance with our Privacy Policy and Data Deletion Policy.
9. Zapelite’s Rights
Zapelite reserves the right to modify, suspend, or discontinue any part of the Services at any time. We retain all rights, title, and interest in and to the Zapelite platform, including all software, design, and documentation.
We retain the non-exclusive right to use the name and logo associated with your Account for the limited purpose of identifying you as a Zapelite customer. You may withdraw this permission at any time by written notice to support@zapelite.io.
10. Third-Party Services
The Services may integrate with third-party services such as Meta’s platforms, Google APIs, payment processors, and CRM platforms. Your use of these services is governed by their respective terms, and Zapelite is not responsible for third-party services’ availability, accuracy, or conduct.
11. Service Availability and Disclaimer of Warranties
Zapelite will use commercially reasonable efforts to keep the Services available, but does not guarantee uninterrupted or error-free operation. Planned maintenance will be communicated in advance where practicable.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ZAPELITE DOES NOT WARRANT THAT MESSAGES WILL BE DELIVERED, THAT TEMPLATES WILL BE APPROVED BY META, OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS.
12. Confidentiality
Each party agrees to use the other party’s Confidential Information solely for performing its obligations under this Agreement and to take reasonable steps to prevent unauthorized disclosure, for the duration of this Agreement and for two (2) years thereafter. Confidential Information does not include information that is publicly available, independently developed, or lawfully obtained from a third party.
13. Cancellation and Termination
You may cancel your Account at any time by contacting support@zapelite.io. Cancellation takes effect at the end of the current billing period, and no pro-rated refunds are issued except as provided in Section 6.
Zapelite reserves the right to suspend or terminate Accounts for breach of this Agreement, violation of Meta policies, fraudulent activity, or non-payment. Where the breach is curable, we will give you reasonable notice and an opportunity to cure before termination, except where immediate action is required to comply with law or Meta requirements or to protect the platform.
Sections that by their nature should survive termination (including Fees owed, Confidentiality, Limitation of Liability, Indemnification, and Governing Law) shall survive.
14. Limitation of Liability
To the maximum extent permitted by law: (a) Zapelite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity; and (b) Zapelite’s total aggregate liability arising out of or relating to this Agreement shall not exceed the total fees paid by you to Zapelite in the twelve (12) months preceding the event giving rise to the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless Elitestack Tecnologies LLC, its officers, employees, and agents against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of this Agreement; (b) Your Content; (c) your violation of Meta policies or applicable law; or (d) your messaging to end users without valid consent.
16. Intellectual Property & Infringement Claims
Zapelite respects intellectual property rights. If you believe your copyright or other intellectual property is infringed by content on the platform, please contact support@zapelite.io with details of the work, the alleged infringement, and your contact information, and we will investigate and act as appropriate.
17. Force Majeure
Neither party shall be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental action, internet or telecommunications failures, or failures of Meta or other third-party platforms. Payment obligations for Services already delivered are excluded from this clause.
18. Governing Law and Disputes
This Agreement is governed by the laws of the United Arab Emirates. Disputes shall be subject to the exclusive jurisdiction of the courts of the Emirate of Dubai. Before initiating formal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of thirty (30) days.
19. Third Party Rights
No person or entity who is not a party to this Agreement shall have any right to enforce any term of this Agreement.
20. General Provisions
Entire Agreement. This Agreement, together with the Privacy Policy and Data Deletion Policy, constitutes the entire agreement between you and Zapelite and supersedes all prior agreements on the subject matter.
Amendments. We may update this Agreement from time to time. Material changes will be notified via email or dashboard alert at least 30 days before taking effect; continued use of the Services after the effective date constitutes acceptance.
Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
Waiver. Failure to enforce any provision shall not constitute a waiver of that or any other provision.
Assignment. You may not assign this Agreement without Zapelite’s prior written consent. Zapelite may assign this Agreement in connection with a merger, acquisition, or sale of assets.
Notices. Notices to Zapelite must be sent to support@zapelite.io. Notices to you will be sent to the email address registered on your Account and are deemed received upon sending.
21. Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we handle personal data — including Meta Platform Data received through our application zapchat (App ID: 803096449433399). With respect to your end-user data processed through the Services, you act as the Data Controller and Zapelite acts as the Data Processor.
